Welcome to ProXait. These Terms of Service (“Terms”) govern your access to and use of the ProXait platform, applications, and services (collectively, the “Service”) operated by ProXait (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

5. AI-Generated Content

5.1 Ownership

Subject to your compliance with these Terms, you retain ownership of the content you create using the Service (prompts, inputs, and configurations). AI-generated outputs are licensed to you for personal and commercial use, subject to the limitations of the underlying AI models and applicable law.

5.2 No Guarantees

AI-generated content is produced by machine learning models and may contain inaccuracies, biases, or errors. You are solely responsible for reviewing, verifying, and validating any AI-generated content before relying on it, particularly for legal, medical, financial, or other professional purposes.

5.3 Legal Research Disclaimer

Legal research tools provided through the Service are for informational purposes only and do not constitute legal advice. Always consult a qualified legal professional before making legal decisions.

6. Payment and Billing

• Certain features require a paid subscription. Pricing is displayed at the time of purchase.
• Subscriptions renew automatically unless cancelled before the renewal date.
• All fees are non-refundable except as required by applicable law or as stated in our refund policy.
• We reserve the right to change pricing with 30 days’ advance notice.

7. Intellectual Property

The Service, including its design, features, code, documentation, trademarks, and all related intellectual property, is owned by ProXait and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without prior written consent.

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We are not liable for any downtime, data loss, or service interruption resulting from maintenance, third-party failures, force majeure events, or circumstances beyond our reasonable control.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided “as is” and “as available” without warranties of any kind, express or implied.
• ProXait shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify and hold harmless ProXait, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your account at any time if you violate these Terms. You may delete your account at any time through the Service settings. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including intellectual property, limitation of liability, and indemnification.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the “Last Updated” date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
